1. Acceptance of terms

By installing, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and the Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.

2. License grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service on your devices for personal or business use. You may not:

• Copy, modify, decompile, reverse engineer, or extract the source of the Service;
• Use the Service for any unlawful purpose or to infringe others' rights;
• Bypass, disable, or interfere with the Service's security or billing mechanisms;
• Resell, rent, or sublicense the Service in any form.

3. Account & Google sign-in

You may sign in with a Google account. You are responsible for all activity under your account and should keep your Google credentials secure. We obtain only basic identity information via Google OAuth for identification — see the Privacy Policy. If you suspect unauthorized use, revoke Google access and notify us immediately.

4. Founders tier & subscription

LedgerPanda is available under the following access models. There is no time-limited free trial that automatically converts into a paid plan.

• Founders (early-adopter) tier — users who sign in before paid plans become available for purchase receive permanent free access to the core features. The window is not tied to a fixed calendar date: it closes when paid plans launch, and we announce that closing at least 30 days in advance as set out below. Access already granted is not revoked afterwards.
• Subscription tier — accounts created after the window closes need a valid subscription to import statements; there is no free usage allowance. Subscription entitlement is tracked by an expiry timestamp — when it lapses, importing locks until the subscription is renewed.

5. Acceptable use

When using the Service, you agree not to:

• Upload content containing malware, viruses, or material that infringes third-party rights;
• Use the Service to violate any applicable law;
• Abuse the Service through automation or interfere with its normal operation;
• Misrepresent your identity or affiliation.

6. Intellectual property

The Service and its content (software, design, text, the "LedgerPanda" name and marks, including the panda logo) are owned by us or our licensors. All rights not expressly granted are reserved. Our trademarks may not be used without written permission.

7. Disclaimer of warranties

The Service is provided "as is" and "as available", without any warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. Specifically:

• Classification results (account-category labels) are generated automatically and are for reference only — they are not tax, accounting, or legal advice;
• Parsing and reconciliation. The Service reports whether the rows it parsed match the balances and totals printed on your statement. A "Reconciled" result is not a guarantee of correctness, and some statements print no totals we can verify against. You remain responsible for reviewing the parsed output before relying on it;
• On-device AI output. Merchant-name normalisation and category suggestions are produced by a model running on your own device (Chrome's built-in language model, where available) and may be inaccurate. The exact wording produced can differ between model and browser versions. Suggestions are flagged for your review and are not applied to your records until you confirm them;
• Statement coverage. The Service recognises a limited and explicitly listed set of statement layouts. We do not warrant that any particular bank or format will be recognised, and we may add or withdraw support for a layout at any time;
• Support uploads. PDFs you send us are rebuilt on your device before upload: the fragments identified as identifying (account and card numbers, account holder names, customer IDs, SSN, tax ID, IBAN, phone, date of birth, address) are not written into the new file at all. Redaction is nonetheless best-effort, and the rebuilt file deliberately keeps the rest of the statement — including transaction dates, descriptions and amounts — because that is what lets us reproduce a layout problem. Images are not redacted. You are responsible for reviewing the preview we show you before confirming the upload;
• The ultimate responsibility for financial and tax compliance rests with you; consult a qualified professional when needed;
• We do not warrant that the Service will be uninterrupted, error-free, or completely secure at all times;
• We are not obligated to recover data lost due to local corruption, browser incompatibility, or device issues.

8. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profit, data, or business interruption) arising from use or inability to use the Service, even if advised of the possibility. Our aggregate liability to you for claims arising from the Service shall not exceed the fees you paid in the 12 months before the claim (or zero if you paid nothing).

9. Termination

We may suspend or terminate your access at any time, with or without notice, for breach of these Terms, abuse, or operational reasons. You may terminate by uninstalling the Extension, revoking Google access, and ceasing use. Upon termination, Sections 6, 7, 8, and 11, and any other provisions that by nature should survive, remain in effect.

10. Changes to terms

We may revise these Terms from time to time. Material changes will be posted here with an updated "Last updated" date. Continued use after changes take effect constitutes acceptance of the revised Terms. If you disagree, stop using the Service.

11. Governing law & disputes

These Terms are governed by the laws of the People's Republic of China, without regard to its conflict-of-laws principles. Disputes should first be resolved through good-faith negotiation; if unresolved, they shall be submitted to the competent people's court in the operator's place of residence.
